Would it be a good idea to duplicate a website?

Hello,
here is the situation: let's say we have a website www.company1.com which is 1 of 3 main online stores catering to a specific market. In an attempt to capture a larger market share, we are considering opening a second website, say www.company2.com.
Both these websites have a different URL, but offer the same products for sale to the same clientele. With this second website, the theory is instead of operating 1 of 3 stores, we now operate 2 of 4.
We see 2 ways of doing this:
- we launch www.company2.com as a copy of www.company1.com.
- we launch www.company2.com as a completely different website.
The problem I see with either of these approaches is duplicate content. I think the duplicate content issue would be even more or a problem with the first approach where the entire site is mostly a duplicate. With the second approach, I think the duplicate content issue can be worked around by having completely different product pages and overall website structure.
Do you think either of these approaches could result in penalties by the search engines?
Furthermore, we all know that higher ranking/increased traffic can be achieved though high quality unique content, social media presence, on-going link-building and so on. Now assuming we have a fixed amount of manpower to provide for these tasks; do you think we have better odds of increasing our overall traffic by sharing the manpower on 2 websites, or putting it all behind a single one?

First, you're totally right about the possible duplicate content issue. No matter what, don't make a duplicate. If the only interest is crowding SERPs, you're destined for a bad time.
If your manpower is fixed in the short run, you're better off focusing on one property. If the systems administration on one property alone is hard, two will be killer. Now imagine all the necessities aside from that. You'll end up hating your life.
Clients have come to me with dozens of keyword+geo sites. The results are usually the same. That's when the culling of chaff begins. It ends in a single property that performs better than the dozen combined.
Instead, consider another strategy with your existing property. Is your product something that lends itself to the experiential side of things? Is there potential for frequent buying from one client, can they upgrade? Consider what you can do for the buyers you have.
If you can increase LTV, you might be able to increase staff in the long run. And that means more hands for more complex/interesting things. I would think about the situation like that.

Does Duplicate Content Actually "Penalize" a Domain?
Hi all, Some co-workers and myself were in a conversation this afternoon regarding if duplicate content actually causes a penalty on your domain. However, they do allude to spammy content negatively affecting a website. Why it came up: We originally were talking about syndicated content (same content across multiple domains; ex: "5 explanations of bad breath") for the purpose of social media sharing. Imagine if dentists across the nation had access to this piece of content (5 explanations of bad breath) simply for engagement with their audience. They would use this to post on social media & to talk about in the office. But they would not want to rank for that piece of duplicated content. This type of duplicated content would be valuable to dentists in different cities that need engagement with their audience or simply need the content. This is all hypothetical but serious at the same time. I would love some feedback & sourced information / case studies. Is duplicated content actually penalized or will that piece of content just not rank? (feel free to reference that example article as a real world example). **When I say penalized, I mean "the domain is given a negative penalty for showing up in SERPS" - therefore, the website would not rank for "dentists in san francisco, ca". Rankings dropped, should I start a new website?
Hello, my rankings dropped last year (penguin update) - I think it was April 2012 and the website went from 300 visitors per day to 10 per day. This probably happened because I bought links, but I also did a lot of manual and natural SEO (at that time). After the drop, I didn't know what to do... so I did some manual SEO, blog comments, forum posts, article publications (lets say 60 links in total - with diverse anchor texts - brand keywords, etc) and then I paused working on the site to see if there will be any changes... and 1 year latter, there are still no changes. My site used to be in the top results of the first page and now it is totally out of Google. http://getmoreyoutubeviews.com Should I move on and start a new website or do something to fix this one? Competitors Developing Spammy Link For My Website
Well Guys there are lot of discussions in almost all the communities, blogs, forums about Post Penguin impact. Google says that if find that you're involved in any link building activities, we may penalize you. People out there have already started their developed links. But what if our competitors would have developed those links. Initially it was okay to develop one way links, I even developed lot of quality, but deliberately, links. around 95% links are placed manually, if return to some favor or money but all links looks natural. Most of the links I developed through content only, like articles, blog comments, PR submission, etc now really skeptical about the quality (after hearing lot of talks and reading n number of posts). Now, can I also submit my competitor's websites in 1000 topic directory (obviously not in any spammy directory), would it effect that website adversely? What if I spun an existing content and submit it into 500 article directories and give backlink to competitor site from using only one anchor text (which is obviously the main keywords - highest sales generating keyword) I look forward to some experts comments.

Feedback on link building idea
We came up with this idea at work for a client but before I initiate it I was wanting to get feedback on if this would be considered whitehat and alright to use. It is for an ecommerce site. On the order confirmation and thank you page (not email cause they are on some old system that does not send out emails) we are wanting to put a thank you for your order message and continue with a statement about how they can save money on future purchases with a link that takes them to a page with info on how to do so. That new page will have info about linking to the site from a blog or website. And will say if you link back to us and send us an email with that link as proof we will give you a promo code for your next purchase. Is this alright?
