Two sites, two domains, two brands, 98% same content

There are two affiliated brick & mortar retail stores moving into e-commerce. For non-marketing reasons separate e-commerce websites are desired.
The two brands are based in separate (nearby) cities in the same Canadian province.
Although the store name and branding will be different, the content on the site will either be near duplicates or exact duplicates.
The more I look into this on Google and SEOmoz QA, the more I am concerned about the SEO implications of this.

Unfortunately, I would say there's very little chance that rewritten content will happen in the foreseeable future.
With that said, I'd be greatly appreciative of the concerns and remedies that the SEOmoz community has to offer (even if they're for future use). Thanks in advance.

If you had a legitimate purpose you could try using encoding but I'm not sure how this falls within Googles guidelines you would need to check. From experience with similar issues I've found that anything up to about 60% duplicate will rank.

You won't be able to have both sites ranking in Google if you've got duplicate content. One of them will be flagged with Panda and will plummet to page 10 or lower on the SERPS.
Now, if you don't necessarily need people to find one of these sites via Google, you can still have duplicate content. It would be ideal to have the home pages be unique. Then, for the inner pages, use a rel-canonical tag to tell Google which of the websites should be included in the index for these two duplicate pages.
The other option is to apply a noindex meta tag to the duplicated pages on one of the sites. However, the canonical option is better.

Site Structure - Is it ok to Keep current flat architecture of existing site pages and use silo structure on two new categories only?

Best way to move the content to a different domain without inviting any SERP penalty?
Hi all, We are in a bit of a fix right now. We have around 60-70 articles (Wordpress pages / posts) that we intend to move to another domain of ours. What's the best way to do so such that we do not invite any Google penalty. Here's a detailed information about our case:

Let's say, our site example.com has more 2000 articles. To help us better position our content for one of the sections on example.com, we have started another website, example2.com and want to move those 60-70 articles from example.com to example2.com. What is the best way to do it such that we are not penalised by Google? Is it (a) Move all the said content (60-70 articles) from example.com to example2.com and (b) do a permanent redirect (301) of each of the older article URLs to newer article URLs. Content Transfer for Penguin Induced Domain Switch
One of my customers has a mature site that performs very well in ranking and traffic for major keywords, prosun.com. A few years ago we started welproma.com because they were changing their name and branding. We built up welproma.com as an eventual replacement and ramped up to 30% of the Prosun.com traffic. Penguin hit a bit in 2012 but very bad May 24, 2013 and it keeps getting worse. Now they are backing out of the name change, reverting back to prosun.com as the main website. Unfortunately the Welproma.com content is far better in quantity and quality so we would prefer not to waste it. Does anyone think it is a problem to take essentially the exact content from the newer, penalized site and move it to the older well performing site. We will use no links whatsoever between the two sites and take down the new one once we switch.

Will using 301 redirects to reduce duplicate content on a massive scale within a domain hurt the site?
We have a site that is suffering a duplicate content problem. To help resolve this we intend to reduce the amount of landing pages within the site. There are a HUGE amount of pages. We have identified the potential to reduce the pages by half at first by combing the top level directories, as we believe they are semantically similar enough that they no longer warrant being seperated.

For instance: Mobile Phones & Mobile Tablets (Its not mobile devices). We want to remove this directory path and 301 these pages to the others, then rewrite the content to include both phones and tablets on the same landing page. Question: Would a massive amount of 301's (over 100,000) cause any harm to the general health of the website? Would it affect the authority? We are also considering just severing them from the site, leaving them indexed but not crawlable from the site, to try and maintain a smooth transition. We dont want traffic to tank. Need to move highest content pages into a sub-domain and want to minimize the loss of traffic - details inside!
Hi All! So the company that I work for owns two very strong domains in the information security industry. There are two separate sections on each site that draws a ton of long tail SEO traffic. For our corporate site we have a vulnerability database where people search for vulnerabilities to research, and find out how to remediate. On our other website we have an exploit database where people can look up exploits in order to see how to patch an attackers attack path. We are going to move these into a super database under our corporate domain and I want to ensure that we maintain or minimize the traffic loss. The exploit database which is currently on our other domain yields about three quarters of the traffic to the domain. It is obviously OK if that traffic goes directly to this new subdomain. What are my options to keep our search traffic steady for this content? There are thousands and thousands of these vulnerabilities and exploits so it would not make sense to 301 redirect all of them. What are some other options and what would you do?

Are sub domains considered completely different than the root domain?
We have a project that is going to generate duplicate content. If we move the new content to a sub-domain (E.g. product.domain.com) will it still be considered duplicate content to the root domain? Or is it like having two completely different domains? Thanks!

New Domain name vs Low Ranked Existing Site
I am going to build a new site. I could hang it off an existing site with similar content or buy a new keyword rich domain and start over. The existing site does not have much trust or authority beyond the domain being registered for 5 plus years. I would prefer to start over and build linksfrom scratch but I realize we are starting at the bottom. The keywords we will be competing against are not super competetive so I think we can get ranking within 6 months or so. These post Panda days I am rethinking everything so any input is appreciated. I did a similar niche site a few years ago and found the site ranked well fairly quickly for its little nice. Today though it may be different. I have no experience in buying domains and would have no idea where to start there. New or existing? Thanks for any input.
